PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING STARTUP OS. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. Parties and Agreement

1.1 These Terms of Service ("Terms") constitute a binding legal agreement between:

(a) You ("User", "Subscriber", "you") — the individual or legal entity accessing or using StaxOps; and

(b) MyFintax Advisors Private Limited, a company incorporated under the Companies Act, 2013 ("Company", "we", "us", "our"), the owner and operator of StaxOps, accessible at staxops.myfintax.in ("Platform").

1.2 If you are accessing the Platform on behalf of a company, partnership, LLP, or other legal entity, you represent that you have authority to bind that entity to these Terms, and all references to "you" include that entity.

1.3 By creating an account, clicking "I Agree", or using any feature of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.4 If you do not agree to these Terms, you must immediately cease use of the Platform.

2. Platform Description

2.1 StaxOps is a Software-as-a-Service ("SaaS") business management platform designed for Indian startups and companies. Subject to your subscription plan, the Platform provides:

(a) Compliance management and calendar (GST, TDS, ROC, PF, ESIC deadlines)
(b) Document generation from maintained templates and AI assistance (Business Agreements, Board Resolutions, Policies, SOPs)
(c) Accounting and financial management (double-entry ledger, invoicing, P&L, TDS Centre, reports)
(d) Statutory registers, meetings and company secretarial tools
(e) Payroll and HR management
(f) Business Plan Studio, Pitch Deck Studio and business calculators
(g) AI Agents and Founder Intelligence features
(h) Virtual CFO Review (CFO OS plan only, see Clause 7A)
(i) TallyPrime connectivity through the StaxOps Windows connector (see Clause 9A)
(j) Educational course and ebook content, and the Founder Resource Vault

2.2 Feature availability differs by plan. Only features actually enabled in your account on the Platform form part of the service. Features that are described in marketing material, roadmaps, or previews, or that are switched off in the product, are not promised, contracted, or warranted.

2.3 The Platform is intended solely for use by companies and individuals engaged in lawful business activities in India.

2.4 We reserve the right to modify, add, or discontinue any feature at any time with reasonable prior notice except where modifications are required for security, legal compliance, or emergency operational reasons.

3. Eligibility and Account Registration

3.1 You must be at least 18 years of age and legally capable of entering into contracts under the Indian Contract Act, 1872 to use the Platform.

3.2 You must provide accurate, complete, truthful, and current information during registration including your company's Corporate Identification Number ("CIN"), registered office address, and authorised representative details.

3.3 You are solely responsible for: (a) maintaining the confidentiality and security of your login credentials; (b) all activities conducted under your account; (c) any breach of security or unauthorised access you become aware of — which must be reported to us immediately at support@myfintax.in.

3.4 Each account is for a single legal entity only. Using one account for multiple companies or sharing credentials with persons outside your organisation is strictly prohibited and constitutes a material breach of these Terms.

3.5 We reserve the right to verify your identity and company details at any time and to suspend your account if information provided is found to be false or misleading.

4. Subscription Plans and Payment Terms

4.1 Plans: The Platform is offered on paid subscription plans: (a) Growth OS — ₹1,499 per month or ₹14,988 per year; (b) Founder OS — ₹2,749 per month or ₹26,988 per year; (c) CFO OS — ₹4,999 per month or ₹53,988 per year. The features included in each plan are those listed on the in-product pricing page at the time of purchase. An account without an active paid subscription has no feature access beyond sign-in and plan selection.

4.2 Billing: Paid subscriptions are billed in advance. Subscriptions auto-renew unless cancelled at least 24 hours before renewal date.

4.3 Payment Processing: All payments are processed by Razorpay Payment Solutions Private Limited, a PCI-DSS compliant payment gateway. We do not store, access, or process your card, UPI, or bank account details.

4.4 Taxes: All fees are exclusive of GST. GST at the applicable rate will be charged additionally. Tax invoices will be issued as required under the CGST Act, 2017.

4.5 Refund Policy: (a) Annual plans: refund requests accepted within 7 days of initial purchase if no documents have been generated and no AI credits consumed. (b) Monthly plans: no refund for the current billing period — cancellation takes effect at end of current period. (c) Refunds may be considered at our sole discretion in cases of verified technical failure preventing access for more than 72 continuous hours.

4.6 Price Changes: Existing subscribers will receive 30 days written notice before any price increase takes effect.

4.7 Failed Payments: If payment fails, we will retry up to 3 times over 7 days. Access to paid features is suspended until the subscription is resolved; your data is retained in accordance with Clause 13.

4.8 Fair Use of AI and Storage: AI-assisted features, document generation and file storage are subject to fair-use ceilings applied per account and per organisation, displayed inside the Platform. Certain features carry a fixed allowance — for example, a maximum of five (5) custom AI-generated SOPs per organisation, and one regeneration of a Virtual CFO Review submission per month. The custom SOP allowance applies only to SOPs you request through the custom ("Other") category; the standard ready-made SOP catalogue included with your plan is unlimited and does not consume the allowance, and neither does re-downloading a custom SOP you have already generated, nor an AI attempt that fails or is blocked. On reaching an allowance or ceiling, the relevant feature is blocked until the next cycle or until additional capacity is agreed with us in writing. Automated, bulk, or programmatic consumption of AI features is not permitted.

5. Acceptable Use and Prohibited Conduct

5.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2 You must NOT: (a) violate applicable Indian law (Companies Act 2013, Income Tax Act 1961, CGST Act 2017, etc.); (b) upload false, fabricated, or fraudulent company information, financial data, or legal documents; (c) reproduce, copy, distribute, resell, sublicense, or create derivative works of any Platform content; (d) use the Platform or its AI outputs to build a competing product; (e) reverse engineer, decompile, or disassemble the Platform; (f) use automated tools (bots, scrapers, crawlers) without our written permission; (g) bypass security or subscription enforcement; (h) share or transfer your account credentials; (i) upload malware; (j) harass, defame, threaten, or harm any person; (k) misrepresent AI-generated content as professional advice; (l) damage or impair the Platform's infrastructure.

5.3 Violation of any provision of this Clause 5 constitutes a material breach and entitles us to immediately suspend or terminate your account without refund and without prejudice to any other legal remedy.

6. Intellectual Property

6.1 Ownership: The Platform and all its components are the exclusive intellectual property of MyFintax Advisors Private Limited, protected under the Copyright Act, 1957, the Trade Marks Act, 1999 (covering "StaxOps", "MyFintax", and "Apna CA Khud Bano"), and applicable international IP laws.

6.2 Licence to User: Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes during your active subscription period.

6.3 Restrictions: This licence excludes any right to copy or redistribute Platform content, resell legal templates generated on the Platform, share course videos or ebook content, or use Platform branding without our written consent.

6.4 User Data Ownership: You retain full ownership of all company data, financial records, and business information you upload. We do not claim ownership of your business data.

6.5 Limited Data Licence: You grant us a limited, non-exclusive licence to process, store, and use your data solely to provide Platform services and as described in our Privacy Policy.

6.6 Feedback: Any suggestions or feedback you provide may be used by us freely without any obligation or compensation.

7. AI-Generated Content — Important Disclaimer

7.1 The Platform uses artificial intelligence to generate legal documents, compliance guidance, financial calculations, SOPs, and advisory content.

7.2 ALL AI-GENERATED CONTENT IS FOR INFORMATIONAL AND GUIDANCE PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE.

7.3 Specifically: (a) legal documents should be reviewed by a qualified Advocate or Company Secretary before execution or filing; (b) compliance information should be verified with your CA or CS; (c) financial calculations are indicative only; (d) AI Department responses are not a substitute for professional consultation.

7.4 Use of AI-generated content without professional review is entirely at your own risk. We expressly disclaim all liability for consequences arising from such reliance.

7.5 AI-generated outputs may contain errors. The accuracy depends on the accuracy of information you provide.

7A. Virtual CFO Review (CFO OS Plan)

7A.1 The Virtual CFO Review is available only on the CFO OS plan. It combines an AI-assisted analysis of the data in your account with a review by a chartered accountant or equivalent professional engaged by MyFintax Advisors Private Limited.

7A.2 Reviews are prepared for a completed calendar month only. The current and future months cannot be submitted. One review submission and one regeneration are permitted for a month; once our review has commenced, that submission cannot be replaced.

7A.3 The review is based solely on the data you have recorded in the Platform. It is advisory in nature, is not a statutory audit, certification, assurance engagement, or filing, and does not create a professional engagement beyond the scope described in the report.

7A.4 Turnaround times, advisory calls and support response commitments are indicative service levels, not guarantees, and are subject to your data being complete at the time of submission.

8. Educational Content

8.1 The StaxOps course "Apna CA Khud Bano" and accompanying ebook are copyrighted educational materials owned by MyFintax Advisors Private Limited.

8.2 Course access is subject to your subscription plan.

8.3 You are strictly prohibited from: (a) recording, downloading, or screen-capturing course videos; (b) sharing course access credentials; (c) redistributing course content; (d) using course content for commercial training.

8.4 All course videos are watermarked with your name and email. Unauthorised sharing is traceable and actionable under the Copyright Act, 1957.

8.5 Violation may result in immediate account termination and legal action.

9. Third-Party Services

9.1 The Platform integrates with third-party services including Razorpay (payments), Vimeo (video hosting), and cloud infrastructure providers. Use is subject to their respective terms.

9.2 We are not responsible for the availability, accuracy, or reliability of third-party services.

9.3 External links do not constitute our endorsement.

9A. TallyPrime Connectivity

9A.1 Where enabled, StaxOps can exchange data with TallyPrime running on your own Windows computer through the StaxOps connector application, which you install and operate.

9A.2 You are responsible for your TallyPrime licence, for your data in Tally, for keeping the connector and computer available and secure, and for taking your own backups before any synchronisation.

9A.3 Synchronised data is a mirror of what your Tally installation reports. We do not warrant uninterrupted synchronisation, and reconciliation differences must be reviewed by you or your accountant before being relied upon. Tally Solutions Private Limited is an independent third party and is not a party to these Terms.

10. Disclaimers and Limitation of Liability

10.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

10.2 We do not warrant that (a) the Platform will be uninterrupted or error-free; (b) AI-generated content will be accurate or suitable for your situation; (c) the Platform will meet all your compliance requirements without professional CA/CS involvement; (d) data will never be lost due to technical failures.

10.3 Maximum Liability: Our total liability for any claim shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the claim.

10.4 Excluded Damages: We shall not be liable for any indirect, consequential, incidental, special, or punitive damages; loss of business, profit, revenue, data, or goodwill; compliance penalties; third-party service failures; or losses from unauthorised account access due to your failure to maintain credential security.

10.5 Professional Advice Disclaimer: StaxOps is a technology tool and does not provide legal, financial, tax, or professional advisory services.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyFintax Advisors Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the Platform in violation of applicable law; (c) false or inaccurate information provided by you; (d) your infringement of any third-party IP or other rights; (e) any dispute between you and a third party arising from your use of documents generated on the Platform.

12. Grievance Officer

As required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021:

All grievances must be submitted in writing with subject line: "Grievance: [brief description]".

13. Account Suspension and Termination

13.1 We may suspend or terminate your account immediately if you violate these Terms; we suspect fraudulent or illegal activity; required by law; or continued access poses a security risk.

13.2 You may terminate your account at any time. Termination does not entitle you to refund except as in Clause 4.5.

13.3 Upon termination: (a) access ends immediately; (b) data is retained for 90 days then permanently deleted; (c) downloaded documents remain yours; (d) IP, disclaimers, and indemnification provisions survive termination.

14. Governing Law and Dispute Resolution

14.1 These Terms are governed by the laws of India.

14.2 Dispute Resolution Process: Step 1 — raise dispute with Grievance Officer at support@myfintax.in (resolution attempted within 30 days). Step 2 — if unresolved, refer to arbitration under the Arbitration and Conciliation Act, 1996. Step 3 — sole arbitrator mutually appointed; seat: Bhilai, Chhattisgarh; language: English or Hindi.

14.3 For urgent injunctive relief, Courts at Durg/Bhilai, Chhattisgarh shall have exclusive jurisdiction.

14.4 Class Action Waiver: Disputes will be resolved on an individual basis only.

15. General Provisions

15.1 Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.

15.2 Severability: If any provision is invalid, the remaining provisions remain in full force.

15.3 Waiver: Our failure to enforce any right does not constitute a waiver.

15.4 Assignment: You may not assign your rights without our written consent. We may assign without restriction.

15.5 Force Majeure: We are not liable for delays caused by events beyond our reasonable control.

15.6 Notices: Notices to you sent to your registered email. Notices to us must be sent to support@myfintax.in.
